Terms and Condition during the contract

1. Period Of Contract

The period of contract should be a period of two years,renewable on mutual consent

2.Applicability of the Rates

Held firm for a period of one year, after which the terms and conditions will remain the same, but rates will be revised on mutual agreement. However in case there is a heavy wage hike ie, more than 5% of the individual worker’s salary then the same would be informed to the client and on mutual agreement the same will be revised i.e. during the course of the contract.

3.Validity of the offer

The above commercial proposal has been formulated in keeping with current market rates and trends, and thus will be valid for a period of 30 days only. If however the decision to finalize the contract exceeds the validity period, the rates submitted would be revised, other terms and conditions will remain unchanged

4.Other Taxes

During the term of the contract, all additional taxes coming in force would be charged to the client.

5.Change of Rates

Rates are based on the scope of work and services offered. However in case of increase or change in scope of work, the rates will be revised.

6.Force Majeure

During Force Majeure i.e. floods, riots, earthquake, strike, etc, we shall provide maximum possible services in the given circumstances. Monthly rates as applicable shall continue to prevail during the period for Force Majeure if it is fifteen days or less. If it should continue beyond fifteen days, services shall be provided on specific mutually agreeable terms and conditions. In such cases the demobilization costs would be borne by the client.

 

7.Invoices

Invoice shall be raised for the previous month by the 2nd of the current month, it would be the responsibility of the client to reimburse the same within 10 days of receiving the invoice.

8.Escalation Clause

Should there be an unprecedented rise in the cost of Material, Fuel, Labour, or any products which may directly or indirectly affect the cost of services offered to the client, we will petition the client for a change in rates which shall be calculated on the market and regulatory forces which govern it.

9.Termination Clause

Either party can terminate this contract by giving one month’s advance notice in writing. If the termination is for the convenience of the Client, the Client will reimburse us for its demobilization, which will include one month’s notice salary for all our site staff. The Client will also reimburse us for all the unused cleaning materials stock at the site, transportation for all our manpower and assets from the site to our warehouse.

10.Waiver

No waiver of any right will be deemed a continuing waiver, and no failure on the part of either party to exercise wholly or in part any right will prevent a later exercise of such or any other right.

11.Governing Law

The agreement will be governed by the Laws of India and subject to the jurisdiction of courts of Mumbai.

OBLIGATIONS, TERMS & CONDITIONS DURING THE TENURE OF THE CONTRACTOUR OBLIGATIONS

1.CLIENT’S OBLIGATIONS

1. Stores – Sufficient space, shelves, storage racks for cleaning and maintenance materials, and tools and implements would be provided for by the client
2. Utilities – The client will provide for free of cost utilities like running water and electricity required for the all operations at their premises
3. Staff Facilities – The client at site would provide our staff change cum rest room with toilets for staff
4. Communication – An internal communication network between areas within the premises and the administrative offices would be provided for by the client

2.Personnel

• We would ensure that all our employees wear appropriate uniforms and safety gear and adhere to the safety standards as laid down by the client and the industry norms.
• All legal and statutory payments would be the responsibility of our Company.
• Continuous training of the employees would also be the responsibility of our Company.
• All of our personnel would work for 8 hours a day, unless otherwise specified.

•Regular updates and transparent communication will bemaintained throughout the contract period. We will provide timely reports on performance 

3.Client Satisfaction

A formal monthly evaluation on standards of services provided for by us would be evaluated. The client will endeavour to maintain high standards of cleaning.

Other Important General Terms & Conditions

1.  Execution of work will be undertaken only after an official contract is mutually agreed and signed by both the parties.

2. Our Company will ensure that all our employees employed at your site are physically fit to carry on the work and are not suffering from any chronic or contagious diseases.

3. We shall be responsible and liable for payment of salaries, wages, and consumable expenses every month.

4. We, at any time on being asked to do so, shall produce before the authorized officer of the client company registered certificates under all the applicable laws and statutes (Central & State), and proof of having complied with all applicable laws, rules & regulations.

5. If any employee of ours is found to be unsatisfactory in his work, we shall replace him immediately on being required by the company to do so.

6. The liability of the contract will be limited as per the terms and the value of the contract.

7. No money should be paid to our staff personnel directly, if done so it will be a sole responsibility of the donor. We would not be held responsible for the deed.

8. The client should take no employee of ours under his direct employment without our written consent.

9. The contract does not include any consumables or any other spare parts mostly in the case of electromechanical services like plumbing or electrical.

10. An intimation of 15 working days will be required from the client prior to the commencement of contract.

11. Staff settling and routine activities at the site will take 45 days additional from the date of the commencement of contract.
